The PhosAgro charter stipulates that the company`s main governing body is the general shareholders` meeting. General management of the company and control over executive bodies and the exercising and protection of shareholders` rights lie with the board of directors. The sole executive body of OJSC PhosAgro is its CEO to whom the heads of subsidiary companies report.

	Maxim Volkov CEO, OJSC PhosAgro CEO of the Management Company CJSC PhosAgro AG Member of the Board of Directors of OJSC PhosAgro Volkov is CEO of the management company CJSC PhosAgro AG and OJSC PhosAgro. In 2002 he became a member of the board of OJSC PhosAgro. He previously worked as the company`s deputy CEO for economic affairs and finance. He started his career in 1996 as an auditor with Arthur Andersen. Volkov holds a master`s degree from the Bodø Graduate School of Business (Norway). He also graduated from the Ustinov Baltic State Technical University.
	Mikhail Rybnikov Executive Director, CJSC PhosAgro AG Rybnikov has been head of operations since 2011. He has been at CJSC PhosAgro AG since 2006, having served as director for economic affairs and finance and executive director. In 2004 - 2006 he held the post of director for economic affairs and finance at OJSC Apatit. From 2001 to 2004 he was CFO at OJSC Ammophos. In 1998 - 2001 he worked as deputy CEO for economic affairs and finance at OJSC Voskresensk Mineral Fertilizers. Rybnikov graduated from Lomonosov Moscow State University with a master`s degree in economics.
	Alexei Grigoryev 1st Deputy CEO, CJSC PhosAgro AG Since 2011 Grigoryev has been working as the executive director of the management company CJSC PhosAgro AG. In 2007 he was appointed director of the St. Petersburg branch of CJSC PhosAgro AG and chairman of the board of directors of OJSC Apatit. He was referred from university to the city of Kirovsk to work at the Apatit production complex. He worked his way from excavator driver and mine master at the Eastern mine up to technical director at OJSC Apatit, in 2001 becoming the company`s head. As well as authoring and co-authoring several scientific publications, Grigoryev also has a number of inventions to his name. Grigoryev is a full member of the Academy of Mining Sciences. In 2007 he was elected to the Murmansk Regional Duma. Grigoryev graduated from the Plekhanov Leningrad Mining Institute specializing in the technology and mechanization of open pit mineral mining.
	Sergey Pronin 1st Deputy CEO, CJSC PhosAgro AG Sergey Pronin was appointed 1st Deputy CEO CJSC of the management company CJSC PhosAgro AG in 2012. Since 2011 he worked as deputy CEO for external relations and information policy at CJSC PhosAgro AG. Prior to that he served as director for external and corporate relations having been appointed to the position in 2010. Between 2002 and 2010 he was deputy CEO of CJSC PhosAgro and CEO of LLC PhosAgro-Region. During this period he was also head of domestic and CIS mineral fertilizer sales at CJSC PhosAgro AG. From 1997 to 2002 he held various senior managerial positions at Voskresensk Mineral Fertilizers and Ammophos. Pronin graduated from the Moscow Kuybyshev Construction Engineering University with a degree in industrial and civil engineering.
	Roman Osipov deputy CEO for business development, CJSC PhosAgro AG Roman Osipov was appointed deputy CEO for business development of the management company CJSC PhosAgro AG in 2012. He had previously worked as the company`s CFO. Before joining PhosAgro (2008) he worked for GAZ Group in various financial management positions including CFO of LCV Division and he also worked for Ernst & Young and Arthur Andersen as an auditor and a senior consultant. Osipov graduated from the Baltic State Technical University named after Ustinov and has a master`s degree from the LETI-Lovanium International School of Management.
	Boris Levin Director for Strategic Development and Technological Policy, CJSC PhosAgro AG Chairman of the Board of Directors of OJSC NIUIF Levin has been head of strategy at CJSC PhosAgro AG since 2010. In 2005 - 2006 he worked as deputy CEO for strategy at OJSC PhosAgro, then as deputy and first deputy CEO for strategy at CJSC PhosAgro AG. He has been CEO of OJSC NIUIF since 2003. In 1999 he joined PhosAgro and worked at OJSC NIUIF researching matters related to the analysis of trends in the global technology markets and high-capacity chemical products. Until 1998 he was a professor of the technology of non-organic substances. Levin graduated from the Mendeleev Moscow Institute of Chemical Technology, where he specialized in the technology of non-organic substances and chemical fertilizers.
	Alexander Sharabaika, CFO, CJSC PhosAgro AG Alexander Sharabaika was appointed CFO of the management company CJSC PhosAgro AG in 2012. Prior to joining PhosAgro, Alexander Sharabaika worked as head of Corporate Finance at Uralkali, where his responsibilities included regular participation in the company`s investor relations activities. Prior to the merger of Uralkali and Silvinit, Alexander was the CFO and a consultant to the Supervisory Board of Silvinit. From 2005 to 2010, he worked first as Head of Corporate Finance and then as CFO of Mineral Group. Alexander began his career in Belaruskali in 1998, and from 2003 to 2005 he was the deputy head of the Investment Department at Silvinit. He received a Bachelors of Economics with honours from the Belorussian Economic University, and completed an MBA in Finance from Nottingham University Business School.
	Vasily Loginov Head of Sales and Foreign Affairs, CJSC PhosAgro AG Member of the Board of Directors of OJSC PhosAgro Loginov has been head of sales and foreign affairs at CJSC PhosAgro since 2005. He worked in top positions at LLC Mars, CJSC Russian Product, CJSC MISTIKO and CJSC Vital before joining PhosAgro. Loginov graduated from the Alksnis Riga Higher Military School specializing in aircraft and power units and receiving the diploma of a military mechanic engineer. He earned the qualification of graduate English-speaking officer at the Dzerzhinsky Higher KGB School. Loginov also graduated from the Andropov Red Banner of Russia Institute with a degree in international relations and foreign policy and a diploma in foreign policy.
	Alexei Sirotenko Head of Legal, CJSC PhosAgro AG Sirotenko has been head of legal at CJSC PhosAgro AG since 2011. He also held the position of deputy CEO for corporate and legal affairs at OJSC PhosAgro. In 2006 - 2011 he worked as head of the legal department at CJSC PhosAgro AG. In 2005 - 2006 he was deputy CEO of CJSC LUKOIL-Neftekhim for legal affairs. From 2000 to 2005 he headed the legal department of the Interkhimprom Group. Sirotenko graduated from Moscow State University with a degree in jurisprudence.
	Pavel Vakhnin Head of IT, CJSC PhosAgro AG Vakhnin took the helm of the directorate for information technologies of CJSC PhosAgro AG in 2006 and oversaw the introduction of the Oracle system at the company`s subsidiaries. From 2005 to 2006 he was head of IT at OJSC OMZ Group. From 2001 to 2005 he held various posts at Oracle`s Moscow office. Vakhnin graduated from the Moscow Technical University of Communications and Informatics where he specialized in the application of IT systems in the economy.
	Siroj Loikov Human Resources Director, CJSC PhosAgro AG Loikov was appointed CJSC PhosAgro AG human resources director in 2011. From 2009 to 2011 he served as Human Resources Director at CJSC Russian Standard. In 2008-2009 was responsible for human resources development at Metinvest Holding. From 2005-2008 Loikov was human resources director at Leman Commodities S.A. Between 1996 and 2005 he held various management positions in British American Tobacco – both at the company`s headquarters in London and its representative offices in Uzbekistan and Russia. Loikov holds a business management bachelor`s degree from Nottingham Trent University (UK). He also graduated from the Tashkent State Economics University where he specialized in international economic relations.
	Vladimir Davydenko Deputy Director of the Cherepovets Branch of CJSC PhosAgro AG Director, OJSC Cherepovetsky Azot Davydenko has been deputy director of the Cherepovets branch of CJSC PhosAgro AG and director of OJSC Cherepovetsky Azot since 2010. From 2008 to 2010 he served as CEO of OJSC NIUIF. From 2002 he held various senior positions at LLC Balakovo Mineral Fertilizers and the management company CJSC PhosAgro AG. In 2000 - 2002 he headed the production development directorate at OJSC Minudobreniya in Meleuz. In 1999 - 2000 Davydenko worked at OJSC NIUIF. Davydenko graduated from the Moscow State Chemical Industry Machine-Building Academy with a degree in machines and equipment for the chemical and construction industries.
	Vladimir Klenichev Director of the Balakovo Branch of CJSC PhosAgro AG CEO, LLC Balakovo Mineral Fertilizers Klenichev has been in his current position since 2008. In 2005 he was appointed deputy director of the Balakovo branch of CJSC PhosAgro AG and CEO of Balakovo Mineral Fertilizers. After graduation he was referred to the Balakovo chemical plant where he worked his way from sulfuric acid production mechanic up to first deputy CEO. Klenichev graduated from the Mendeleev Moscow Institute of Chemical Technology with a degree in chemical industry machinery and equipment.
	Yevgeny Ivanov Director of the Cherepovets Branch of CJSC PhosAgro AG Ivanov has been head of the Cherepovets branch of CJSC PhosAgro AG since 2006. In 2005 he was appointed deputy director of the Cherepovets branch of CJSC PhosAgro AG and director of OJSC Cherepovetsky Azot. In 2004 - 2005 he held the post of deputy CEO of CJSC PhosAgro AG and CEO of OJSC Cherepovetsky Azot. From 1975 to 2004 he worked at Cherepovetsky Azot rising from ethylbenzene processing department operator to CEO. Ivanov graduated from the Northwestern Correspondence Polytechnic Institute majoring in the technology of basic organic and petrochemical synthesis with a chemical engineer diploma. He is also a graduate of the Mendeleev Moscow Institute of Chemical Technology.
	Konstantin Nikitin Director of the Kirovsk branch of CJSC PhosAgro AG CEO, OJSC Apatit Nikitin has held his current position since 2010. In 2006 he was appointed deputy CEO of OJSC Apatit and in 2008 took the helm of the Kirov mine. Within ten years of starting work at the Kirov mine, he worked his way from mining master up to the head of the Rasvumchorr mine. Nikitin graduated from the Plekhanov Leningrad Mining Institute with a mining engineer diploma and a degree in the technology and mechanization of underground mineral mining.
	Vladimir Pomatilov Director of OJSC Ammophos Deputy Director of the Cherepovets branch of CJSC PhosAgro AG In January 2008 he was appointed director of Ammophos and deputy director of the Cherepovets branch of CJSC PhosAgro AG. Since 1993 he has worked at OJSC Ammophos as deputy CEO for commercial affairs, executive director, CEO and first deputy CEO. From 1987 to 1990 Potamilov was chairman of the executive committee of the Pervomaisky district of Cherepovets and deputy chairman of the Cherepovets City Council. From 1967 to 1987 he worked at the Cherepovets Metals and Chemicals Construction Works where he worked his way up from mechanic to director of a factory producing reinforced concrete constructions. Potamilov graduated from the Leningrad Mechanical Institute with a degree in mechanical engineering.
