PhosAgro Board of Directors Decisions

Moscow – PhosAgro (Moscow Exchange, LSE: PHOR), a leading global vertically integrated phosphate-based fertilizer producer, announces that its Board of Directors at a meeting on 22-23 April 2013 reviewed the Company’s consolidated IFRS financial statements and gave preliminary approval to the PhosAgro 2012 Annual Report.

The Board of Directors also introduced changes to the agenda of the Annual General Meeting of Shareholders (AGM) that was approved on 5 April 2013, adding remuneration and compensation for the members of the Board of Directors. The Board also approved the text of the meeting notification, the form and text of the ballots for voting at the AGM, the list of information to be provided to shareholders ahead of the AGM, and it appointed PhosAgro Board member Ivan Rodionov as the Chairman of the AGM.

In addition, the Board introduced editorial changes to its 5 April 2013 decision regarding its recommendation on dividend payments. The recommended dividend of RUB 19.9 per ordinary share with a nominal value of RUB 2.50 remains unchanged. These dividends are planned to be paid in addition to already paid interim dividends for the first half of 2012 and the first nine months of 2012.

The PhosAgro AGM will be held on 10 June 2013. The shareholder register cut-off date for the AGM was 22 April 2013.

The AGM agenda includes:

  • Approval of the Company’s financial statements for the year ended 31 December 2012;
  • Distribution of profit, including payment of dividends;
  • Election of the members of the Board of Directors;
  • Election of the members of the Review Committee; and
  • Approval of related party transactions.
