Moscow – PhosAgro (Moscow Exchange, LSE: PHOR), one of the world’s leading vertically integrated phosphate-based fertilizer producers, announces that its Board of Directors has re-elected Independent Director Sven Ombudstvedt as its Chairman. Andrey G. Guryev, Vice President of the Russian Union of Chemists, was elected Deputy Chairman of the Board.
The Board of Directors also re-appointed Andrey A. Guryev as PhosAgro’s CEO, in accordance with the recommendation of the Remuneration and Human Resources Committee.
PhosAgro’s Board of Directors appointed members and leadership to the Board Committees. The Audit Committee will be chaired once again by Independent Director Marcus Rhodes; Andrey A. Guryev was appointed Chairman of the Strategy Committee; Independent Director James Rogers will lead the Remuneration and Human Resources Committee, while the Environmental, Health and Safety Committee will be chaired by Igor Antoshin.
The Board also approved its forward-looking agenda for August-December 2015, as well as several related-party transactions.
These decisions were made at today’s meeting of the Board of Directors, which was its first meeting after the PhosAgro Annual General Meeting of shareholders (“AGM”) that was held today as well. The makeup of the Board of Directors did not change as a result of the AGM.
